Terms of Service

1. Definitions

Customer means the business or individual that has entered into an agreement with Terio to use the Service. User means any individual who accesses the Service under a Customer account. Employee Data means personal data relating to a Customer's employees. Subscription means the paid plan selected by the Customer. Order Form means any written or electronic document setting out the specific terms of a Subscription. Confidential Information means any non-public information designated as confidential or that reasonably should be understood to be confidential.

2. The Service

Terio grants the Customer a non-exclusive, non-transferable right to access and use the Service during the Subscription term for internal HR management purposes. Terio may modify features of the Service with at least 30 days notice for material changes. AI-generated responses are for informational purposes only and do not constitute legal or professional advice. Customers are responsible for reviewing all AI-generated content before acting on it.

3. Accounts and Access

Customers are responsible for maintaining the confidentiality of account credentials and all activity under their account. Notify Terio immediately at support@terio.ai if you suspect unauthorised access. Each User account is personal and may not be shared between individuals.

4. Acceptable Use

Customers and Users must not use the Service to:

  • Process data relating to individuals who are not employees or contractors of the Customer without explicit consent
  • Upload unlawful content or content that infringes third-party intellectual property rights
  • Attempt to circumvent, reverse-engineer, or tamper with the Service
  • Use the Service to discriminate against employees under the Equality Act 2010
  • Transmit malicious code or software designed to harm the Service
  • Resell or sublicense the Service without written consent
  • Violate any applicable law including UK employment law and UK GDPR

5. Fees and Payment

Starter plan: £10 per employee per month up to 20 employees, billed annually. Growth plan: £8 per employee per month up to 50 employees, billed annually. All prices are exclusive of VAT where applicable. Invoices are payable within 14 days. Terio may suspend access where payment is overdue by more than 14 days following written notice. Price increases require at least 60 days written notice before renewal.

6. Term and Termination

Subscriptions renew automatically unless either party gives 30 days written notice before the end of the current term. Either party may terminate immediately for material breach unremedied within 14 days of notice, insolvency, or cessation of business. On termination all Employee Data is deleted within 30 days with written confirmation provided on request.

7. Data Processing and Privacy

Data processing obligations are governed by the Data Processing Agreement which must be signed before Employee Data is processed. The Customer is the data controller for Employee Data and is responsible for ensuring a lawful basis for providing it to Terio. 8. Intellectual Property

Terio retains all intellectual property rights in the Service. The Customer retains all rights in Employee Data and content it uploads. Terio may use anonymised aggregated non-identifiable usage data to improve the Service.

9. Confidentiality

Each party will keep the other's Confidential Information strictly confidential and not disclose it to third parties without prior written consent, except to employees or contractors who need it and are bound by equivalent confidentiality obligations. Confidentiality obligations survive termination for three years.

10. Warranties and Disclaimers

Terio warrants that the Service will perform materially in accordance with its documentation, that reasonable security measures will be maintained, and that Terio will comply with applicable UK law. Except as expressly stated, the Service is provided as-is without warranty. AI-generated content is provided without warranty as to accuracy and does not constitute legal advice.

11. Limitation of Liability

Terio's total aggregate liability to the Customer shall not exceed the total fees paid in the twelve months immediately preceding the event giving rise to the claim. Neither party shall be liable for indirect, special, or consequential loss including loss of profits or loss of data. Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

12. Indemnity

The Customer shall indemnify Terio against claims arising from the Customer's use of the Service in violation of these Terms, breach of applicable law including UK GDPR, or any employment claim resulting from use of AI-generated HR content without appropriate legal review.

13. Force Majeure

Neither party is liable for failure or delay caused by circumstances beyond their reasonable control. If a force majeure event continues for more than 30 days either party may terminate without liability on written notice.

14. Changes to These Terms

Material changes require at least 30 days written notice. Customers may terminate without penalty before the effective date if they do not accept revised Terms. Continued use after the effective date constitutes acceptance.

15. General

These Terms are governed by the law of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales. These Terms together with any Order Form and the Data Processing Agreement constitute the entire agreement between the parties. If any provision is found unenforceable the remaining provisions continue in full force.
